Introduction

Welcome to Localizebook. We are delighted to introduce our accounting platform, powered by Localize Techs Solution Co., Ltd. ("Localize"), designed and developed by Kon Khmer.

This is a legal agreement between you and Localize governing your use of Localizebook. Please read these terms and conditions thoroughly before using the Services. If you do not agree to this Agreement, you may not use the Services.

General Terms

1. Eligible Age: You must be of legal age to use our Services. By accessing or using our Services, you agree that you can form a binding contract with Localize.
2. Account Sign Up: You must sign up for a user account and provide all required information to access the Services. You agree to provide true, accurate, current, and complete information about yourself during the registration process.
3. Creating a Business and Free Trial: Upon registration, you receive a 30-day free trial to use Localizebook with full features. To continue using the Service after the trial ends, you must subscribe to a paid plan. By creating a business subscription and accepting these terms, you become a subscriber. Subscribers are responsible for paying all subscription fees for their selected plan and billing period.
4. User Invitation: Subscribers or authorized users can invite other users to join their business profile. If you are an invited user, you must accept these terms to use the Services.
5. Access Rights: We grant you the right to use our Services based on your subscription plan, user role, and assigned permissions. Subscription fees must be paid on time to prevent suspension or termination. For invited users, access is granted until revoked by the subscriber.
6. Subscriber Role: As a subscriber, you control the business subscription, manage invoice payments, transfer subscriptions, resolve disputes, and are responsible for all invited users' activities.
7. Your Responsibilities: You must keep your account information up to date. You are responsible for ensuring the accuracy of all data used from our Services for your legal, tax, and compliance obligations. You are also responsible for securing your username and password against unauthorized use. We recommend using a strong password that meets our security standards.

Business Data and Ownership

The Service processes the operational and financial data that you input for your business, company, or organization ("Business Data").

1. Ownership of Business Data: You (the Subscriber) retain all right, title, and interest in all Business Data entered or uploaded to the Service. Localize claims no ownership or rights over your business records.
2. Access Control: The Subscriber controls access to all Business Data. You may invite users, assign roles (such as Admin, Editor, Viewer), and manage their permissions. You are fully responsible for all actions taken by invited users.
3. Usage of Business Data: We process Business Data solely to run the Service, generate reports (such as Profit & Loss, Balance Sheets, and Trial Balances), and resolve technical issues under your instruction. We do not sell, rent, or share your proprietary business records.
4. Data Portability: Subscribers can import and export core Business Data (such as the Chart of Accounts, Item lists, Customer lists, and Vendor lists) in supported electronic formats at any time during an active subscription.
5. Business Deletion and Automatic Cleanup:
6. Subscriber-Initiated: You can delete a business or company profile at any time. Permanent deletion removes all associated transactions, ledgers, and reports from our active databases.
7. System-Initiated Cleanup: To maintain database health and security, Localize automatically and permanently deletes databases under the following conditions:
8. Trial Business: Deleted if the trial has been expired for more than 3 months.
9. Subscribed Business: Deleted if the business has been suspended for more than 6 months.
10. Database Backups and Cloud Infrastructure:
11. All Service databases, application servers, backups, and operational assets are hosted and secured on Google Cloud Platform (GCP). Google Cloud Platform provides enterprise-grade compliance, security certifications, and high-availability infrastructure to safeguard your data.
12. Eligible business databases are backed up once a day at 12:00:00 AM (midnight) Indochina Time (GMT+7) onto secure GCP cloud storage.
13. Backup Scope:
14. Trial Businesses: Backed up daily only if the trial is active (not expired).
15. Subscribed Businesses: Backed up daily if the subscription is active, or expired but not suspended (expired subscriptions remain accessible unless suspended). Suspended databases are excluded from daily backups.

AI Processing and Safety: The Service includes Artificial Intelligence (AI) and Large Language Model (LLM) capabilities to power assistive features, chat, search, auto-categorization, and support query routing. When Business Data or user queries are processed by our secure AI systems or third-party AI APIs (such as Google Gemini, OpenAI, and Claude), we ensure your data is handled strictly under secure commercial terms. Your Business Data, search inputs, and prompts are never used to train public or commercial AI models.

Fees, Payment and Refund

Subscription Plans

Your subscription fee is based on your selected plan and billing cycle. Plans can be billed Monthly, Semi-annually, or Annually. Subscribing Annually grants a discount. For current rates and detailed pricing information, please visit our official Pricing Page.

We offer three standard plans:

1. Standard Plan: Designed for service-based companies. Allows 1 user to log in.
2. Professional Plan: Designed for trading companies with inventory. Supports stock control in 1 warehouse and allows up to 3 users to log in.
3. Premium Plan: Designed for larger trading companies. Supports multiple warehouse locations and additional users.

Optional Add-ons

Subscribers can purchase optional add-ons to expand their capabilities:

1. Users: Additional user licenses can be purchased to grant more team members access to your business.
2. POS (Point of Sale): A built-in point of sale feature to manage retail and counter transactions.
3. Unearned Revenue: Helps manage transactions where payment is received before products or services are delivered.
4. Location (Warehouse): Helps manage inventory across multiple physical locations (available on Premium plans).

Payments

1. We accept payments through ABA PAYWAY and Credit/Debit Cards.
2. Payments must be made on time to maintain access. To avoid service interruptions, please pay before the due date.
3. Invoices are due 14 days from the issue date. We may suspend access to your subscription if payment is overdue.
4. You are responsible for all applicable fees and taxes associated with your subscription.

No Refunds

No refunds are issued if you cancel your subscription or if Localize terminates it in accordance with these terms.

Enhancement of Services

We periodically update and enhance our Services. We may change or discontinue features; when this happens, we will make reasonable efforts to notify you in advance.

Account Suspension and Termination

We may suspend your account or temporarily restrict access to the Services due to suspected illegal activity, extended inactivity, or law enforcement requests. To contest a suspension, contact info@localizebook.com within 30 days of notification.

We may terminate suspended accounts after 30 days. We will also delete your account upon request. Additionally, we reserve the right to terminate your account if we believe you have violated these Terms, or due to unexpected technical issues or service discontinuation.

You may delete your account at any time. Deleting your account will remove your access to the Services, delete your login credentials, and remove your account data.

Localize does not provide professional advice. Unless explicitly stated, we do not offer legal, financial, accounting, tax, or other professional services. Please consult a qualified professional for advice in these areas.

Disclaimer of Warranties

YOU EXPRESSLY UNDERSTAND AND AGREE THAT THE USE OF THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. LOCALIZE EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. LOCALIZE MAKES NO WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. USE OF ANY MATERIAL DOWNLOADED OR OBTAINED THROUGH THE USE OF THE SERVICES SHALL BE AT YOUR OWN DISCRETION AND RISK AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM, MOBILE TELEPHONE, WIRELESS DEVICE, OR DATA THAT RESULTS FROM THE USE OF THE SERVICES OR THE DOWNLOAD OF ANY SUCH MATERIAL. NO ADVICE OR INFORMATION, WHETHER WRITTEN OR ORAL, OBTAINED BY YOU FROM LOCALIZE, ITS EMPLOYEES OR REPRESENTATIVES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THE TERMS.

Limitation of Liabilities

YOU AGREE THAT LOCALIZE SHALL, IN NO EVENT, BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, SPECIAL, PUNITIVE, OR OTHER LOSS OR DAMAGE WHATSOEVER OR FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, COMPUTER FAILURE, LOSS OF BUSINESS INFORMATION, OR OTHER LOSS ARISING OUT OF OR CAUSED BY YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF LOCALIZE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. IN NO EVENT SHALL LOCALIZE’S ENTIRE LIABILITY TO YOU IN RESPECT OF ANY SERVICE, WHETHER DIRECT OR INDIRECT, EXCEED THE FEES PAID BY YOU TOWARDS SUCH SERVICE.
